Terms & Conditions

These terms define the conditions governing access to and use of Momentum EXE software and related services.

1. Introduction

These Terms and Conditions ("Terms") govern access to and use of Momentum EXE, including its website, software application, related services, and associated documentation (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree with these Terms, you should not access or use the Service.

2. Definitions

  • "Momentum EXE" means the software and related services provided under the Momentum EXE name.
  • "User" means an individual or entity accessing or using the Service.
  • "Third-Party Platform" means any external trading, brokerage, financial, browser-based, or other platform that may be supported by an integration with Momentum EXE.
  • "Execution Workflow" means the configured sequence through which signals, strategies, operational parameters, and browser-based actions are processed.

3. Software License

Subject to these Terms and any applicable subscription conditions, Momentum EXE grants the User a limited, non-exclusive, non-transferable, and revocable right to access and use the software for its intended purpose.

The Service is licensed, not sold. Except where expressly permitted, the User may not copy, redistribute, resell, sublicense, reverse engineer, modify, or create derivative works from the Service.

4. Subscription and Access

Certain functionality may require an active subscription or other form of authorized access.

Subscription terms, available plans, applicable fees, renewal conditions, and access limitations are presented separately through the applicable purchase or subscription process.

Momentum EXE may restrict or suspend access where reasonably necessary to protect the Service, enforce these Terms, address security concerns, or respond to misuse.

5. User Account and Credentials

Where an account is required, the User is responsible for maintaining the confidentiality of account credentials and for activities performed through the User's account.

Users must provide accurate information and must promptly notify Momentum EXE of unauthorized access or suspected compromise.

6. Third-Party Platforms

Momentum EXE may interact with supported third-party platforms through authorized browser sessions or other supported integration mechanisms.

Availability, functionality, interface behavior, authentication requirements, account restrictions, and compatibility of those platforms are controlled by their respective operators.

Momentum EXE does not guarantee continued compatibility with any particular third-party platform and may modify, suspend, or remove integrations when technical, operational, legal, or commercial circumstances require it.

7. Trading and Execution Risks

Trading and other financial activities performed through third-party platforms involve substantial risk, including the possible loss of capital.

Momentum EXE provides software for execution workflow automation. It does not guarantee the accuracy, profitability, timing, or outcome of any trading activity.

Users are solely responsible for evaluating the risks associated with their trading activities and for determining whether the Service is appropriate for their circumstances.

8. No Brokerage or Financial Intermediary Services

Momentum EXE is software and does not operate as a broker, exchange, financial intermediary, custodian, payment institution, or trading account provider.

Momentum EXE does not receive, hold, control, or transfer customer trading funds and does not take custody of customer trading accounts.

9. No Investment Advice

Momentum EXE does not provide personalized investment advice, financial recommendations, portfolio management, or discretionary trading services.

Software functionality, execution parameters, strategies, and operational configurations are selected and controlled by the User.

10. User Responsibilities

The User is responsible for:

  • maintaining valid and authorized access to any third-party account used with the Service;
  • configuring strategies, execution parameters, and operational limits appropriately;
  • complying with applicable laws, regulations, and third-party platform terms;
  • maintaining the security of devices, browser sessions, credentials, and accounts; and
  • reviewing execution activity and monitoring the operation of the configured workflow.

11. Acceptable Use

Users must not use Momentum EXE for unlawful activities, unauthorized access, abuse of third-party platforms, circumvention of security controls, distribution of malicious software, or activity that materially interferes with the Service or other users.

Users are also responsible for ensuring that their use of any supported third-party platform complies with that platform's applicable rules and requirements.

12. Intellectual Property

Momentum EXE and its software, interface, documentation, branding, designs, content, and related intellectual property are protected by applicable intellectual property laws. Except for the limited rights expressly granted under these Terms, no intellectual property rights are transferred to the User.

13. Payments

Where paid access is offered, the User agrees to pay the applicable fees presented during the purchase or subscription process.

Payment processing may be performed by third-party payment service providers. Additional payment terms, billing conditions, renewal rules, and refund eligibility may be described in the applicable pricing and refund documentation.

14. Refunds and Cancellation

Cancellation and refund rights are governed by the applicable Refund Policy presented by Momentum EXE. Users should review the Refund Policy before completing a purchase or subscription.

15. Service Availability

Momentum EXE is provided using commercially reasonable efforts. Availability may be affected by maintenance, software updates, infrastructure issues, network conditions, third-party platform changes, or other circumstances outside reasonable control.

No specific level of uninterrupted availability is guaranteed unless expressly stated in a separate service agreement.

16. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis. Momentum EXE does not warrant that the Service will be uninterrupted, error-free, continuously compatible with third-party platforms, or produce any particular trading or financial result.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Momentum EXE will not be liable for indirect, incidental, consequential, special, or punitive damages, or for losses arising from trading activity, third-party platform behavior, market conditions, account restrictions, connectivity issues, or User configuration.

18. Indemnification

To the extent permitted by applicable law, the User agrees to indemnify and hold Momentum EXE harmless from claims, liabilities, losses, damages, and reasonable expenses arising from the User's unlawful use of the Service, violation of these Terms, or violation of third-party rights.

19. Suspension and Termination

Momentum EXE may suspend or terminate access where the User materially violates these Terms, engages in abusive or unlawful activity, creates a security risk, or where continued provision of the Service is no longer reasonably possible.

20. Changes to These Terms

Momentum EXE may update these Terms from time to time. Updated Terms will be published through the applicable website or Service. Continued use of the Service after an effective update constitutes acceptance of the updated Terms to the extent permitted by applicable law.

21. Governing Law

These Terms shall be governed by the applicable laws specified in the final legal terms applicable to the Momentum EXE service. Any jurisdiction-specific provisions will be presented in the published version of these Terms.

Momentum EXE is software for execution workflow automation. It does not operate as a broker, custodial service, or investment advisory service.
